Options for registering companies in Namibia
Namibia is a constitutional republic in Southern Africa and a member of the Southern African Development Community (SADC). Its legal framework provides several recognised structures through which domestic and foreign investors may establish a business presence.
Business entities are registered through the Business and Intellectual Property Authority (BIPA). Companies, external companies and trusts operate under separate statutory frameworks, while foreign ownership is generally permitted across recognised structures.
The available entity types vary in legal status, tax treatment, capital thresholds and governance structure, shaping how foreign businesses operate and manage risk locally.
Namibia offers international investors the following legal structures for establishing a local presence:
Proprietary limited company (Pty Ltd)
A proprietary limited company is a separate legal entity whose shareholders benefit from limited liability.
- A Pty Ltd company is a separate legal person registered through BIPA. Unlike an external company branch, it exists independently of its shareholders.
- A Pty Ltd company is commonly used for commercial operations, trading activities, professional services and investment holding activities.
- The company operates through appointed directors and corporate officers. NamRA requires a Public Officer to represent the company for tax matters.
- Companies that do not conduct mining activities are taxed at a flat corporate income tax rate of 31%. Companies must file annual tax returns and financial information with NamRA.
- Beneficial ownership information must be maintained and submitted as part of the BIPA registration framework. Financial institutions generally require authorised signatories during account opening.
- Unlike a trust, a Pty Ltd company provides limited liability protection to shareholders. Certain regulated sectors require additional licensing and regulatory approval.
Branch office (external company)
A branch office is the Namibian registration of a foreign company and does not create a separate legal entity.
- An external company is incorporated outside Namibia and operates locally through branch registration. Unlike a Pty Ltd company, it remains part of the foreign parent company.
- A branch office is commonly used by foreign companies conducting activities through an existing overseas corporate structure.
- The branch must submit director, public officer and registered office information during registration. NamRA requires a Public Officer for tax administration purposes.
- Companies conducting non-mining activities are taxed at 31%. Branch operations remain subject to Namibian tax, reporting and compliance obligations.
- Beneficial ownership information forms part of the external company registration process administered by BIPA. Banking institutions generally require authorised representatives.
- Unlike a Pty Ltd company, a branch office does not establish a separate liability shield in Namibia. Obligations of the branch remain obligations of the foreign parent company.
