Options for registering companies in Benin

Benin is a West African republic and a member of OHADA and UEMOA. Its corporate framework follows harmonised OHADA company law and supports locally incorporated companies and registered branches of foreign companies.

Corporate registrations are handled through the APIEx electronic business portal, MonEntreprise.bj, with RCCM records administered through the competent commercial registry system. SARL, SAS and branch structures are recognised under OHADA company law and Benin’s official business registration framework.

The available entity types vary in legal status, tax treatment, capital thresholds and governance structure, shaping how foreign businesses operate and manage risk locally.

Benin offers international investors the following legal structures for establishing a local presence:

Limited liability company (Société à responsabilité limitée, SARL)

A limited liability company is an OHADA company registered in Benin with separate legal personality and liability limited to members’ contributions.

  • A SARL is a registered OHADA company with legal personality and liability limited to contributions. Unlike a branch, it is separate from its members and allows one or more shareholders.
  • A SARL is commonly used for private trading, services and operating businesses in Benin. MonEntreprise.bj identifies it as the most widely used company form in the country under OHADA rules.
  • No minimum share capital is required for a SARL on MonEntreprise.bj. Capital is freely set by the members, so the USD 500 recommended amount is not an official capital rule in Benin.
  • A SARL is governed by one or more managers appointed under its articles and OHADA company law.
  • Corporate income tax is 30% for legal persons other than specified 25% categories under Benin tax law. Returns and minimum tax obligations are administered by the DGI for companies.
  • SARLs register through APIEx on MonEntreprise.bj and obtain RCCM records through the competent registry system. Beneficial ownership information is listed on the official portal.
  • In contrast to a SAS, a SARL uses equity interests rather than shares and has a more prescribed OHADA governance model. Regulated financial market activity requires separate approval.

Simplified joint stock company (Société par actions simplifiée, SAS)

A simplified joint stock company is an OHADA share company registered in Benin with flexible articles-based governance and liability limited to shareholder contributions.

  • A SAS is an OHADA joint stock company with legal personality and liability limited to shareholder contributions. Compared to a branch, it is a Benin-registered company with shares.
  • A SAS is commonly used for businesses requiring flexible internal governance and share-based ownership. MonEntreprise.bj lists SAS as a recognised company form in Benin under OHADA.
  • No minimum share capital is required for a SAS on MonEntreprise.bj. Capital is freely set by shareholders, so the USD 500 recommended amount is not an official capital rule.
  • A SAS is governed through its articles and must have statutory leadership under OHADA rules.
  • Corporate income tax is 30% for legal persons outside specified 25% categories under Benin tax law. DGI rules also impose minimum tax and filing obligations on resident companies.
  • SAS registrations are handled through APIEx on MonEntreprise.bj and recorded in the RCCM system. Beneficial ownership access is provided through the official business portal in Benin.
  • Unlike a SARL, a SAS uses shares and broader articles-based governance for shareholder control. Public offerings and regulated securities activity require separate market approval.

Branch (Succursale)

A branch is an OHADA establishment of a foreign company registered in Benin that operates locally without separate legal personality from its owner.

  • A branch is an OHADA commercial, industrial or service structure owned by a foreign company. Unlike a SARL or SAS, it has no legal personality separate from its foreign owner.
  • A branch is commonly used by foreign companies for direct operations in Benin without incorporating a local company. Its rights and obligations remain part of the foreign owner.
  • No minimum capital requirement is stated for a branch in the official sources reviewed. OHADA law classifies a branch as an establishment, not a company with registered share capital.
  • A branch must be registered with the RCCM under OHADA rules and operates through the foreign owner's local structure.
  • Corporate income tax is 30% for legal persons other than specified 25% categories under Benin tax law. Branch income is treated through the taxable activity carried on in Benin.
  • Branch registrations use APIEx and the RCCM framework, with records available through Benin public services. Beneficial ownership access is listed on MonEntreprise.bj for businesses.
  • In contrast to a SARL or SAS, a branch cannot create a separate Benin company or ring-fence liability locally. Licensed banking, securities and insurance activity require approval.
