Options for registering companies in Jamaica
Jamaica is a Caribbean island state with a corporate framework based on the Companies Act. The legislation supports locally incorporated companies and overseas companies registered to establish a place of business in Jamaica.
Companies and overseas-company branches are registered with the Companies Office of Jamaica. The Companies Act governs incorporation, share capital, directors, registered offices, overseas companies, annual filings and beneficial ownership reporting.
The corporate structures differ in legal separation, tax exposure, capital requirements and operational control, which directly affects how foreign companies establish local operations.
Jamaica offers international investors the following legal structures for establishing a local presence:
Company limited by shares (CLS)
A company limited by shares is a Jamaican incorporated company with separate legal personality and member liability limited by reference to its unpaid share capital.
- A company limited by shares has a legal identity separate from its members under the Companies Act. Unlike a branch, shareholder liability is limited by reference to unpaid share capital.
- A company limited by shares is commonly used for profit-generating commercial activities. It owns corporate property, enters contracts and carries on its registered business in its own name.
- The company must appoint directors and a company secretary and notify the Registrar of their particulars.
- Unregulated companies are subject to corporate income tax at 25% under Tax Administration Jamaica guidance. Companies must also meet applicable tax and annual filing obligations.
- The Companies Office requires annual returns and notification of changes to the registered office, directors and secretary. Beneficial owners must be identified at incorporation and after changes.
- In contrast to a branch, the company creates a separate Jamaican legal person and liability structure. It cannot offer shares publicly while it remains classified as a private company.
Branch office (overseas company)
A branch office is the Jamaican place of business of a company incorporated overseas and does not create a separate locally incorporated company.
- A branch is an overseas company registered after establishing a place of business in Jamaica. Unlike a company limited by shares, it remains part of the foreign corporate entity.
- A branch is commonly used by foreign companies for direct commercial operations in Jamaica. The Companies Office identifies it as a branch of the company registered outside Jamaica.
- Branch registration is based on the particulars of the overseas company.
- An overseas company must complete the prescribed branch registration filings with the Companies Office.
- Jamaican-source income of an unregulated company is subject to corporate income tax at 25%. The applicable treatment depends on the overseas company’s activities and regulatory classification.
- The branch must maintain its Companies Office registration and complete applicable corporate and tax filings. Required particulars are submitted through the overseas-company registration process.
- Unlike a company limited by shares, a branch does not create a separate Jamaican liability shield. Obligations of the Jamaican operation remain obligations of the overseas company.
Representative office
A representative office describes a limited local presence used for representation or liaison.
- A representative office is commonly described as serving liaison and non-commercial support functions.
- Any local presence must comply with the applicable registration framework.
- Non-trading status depends on the office undertaking no taxable business activity.
- In contrast to a branch, a non-trading representative presence cannot be presented as conducting verified commercial operations. Revenue-generating activity can require company or branch registration.
