Options for registering companies in Grenada

Grenada is an Eastern Caribbean state and a member of the Eastern Caribbean Currency Union. Its corporate framework is based on statutory company legislation and supports domestic companies and external companies registered under Grenadian law.

Company registration is governed by the Companies Act, Chapter 58A, while tax administration is handled by the Inland Revenue Division. The International Companies Act appears in the Laws of Grenada, but GARFIN states that the International Companies Act was repealed with effect from 31 December 2021.

The available entity types vary in legal status, tax treatment, capital thresholds and governance structure, shaping how foreign businesses operate and manage risk locally.

Grenada offers international investors the following legal structures for establishing a local presence:

Private limited company

A private limited company is a Grenadian company incorporated under the Companies Act with separate legal personality and share-capital governance.

  • A private limited company is incorporated under the Companies Act and has separate legal personality. Unlike an external company, it is a Grenadian company rather than a foreign entity.
  • This structure is commonly used for domestic trading, service and holding activities in Grenada. The Companies Act regulates incorporation, shares, directors and corporate records.
  • The Companies Act sets out share-capital rules and required company filings.
  • The Companies Act provides for directors and company management responsibilities.
  • The Inland Revenue Division administers income tax for companies and other legal entities.
  • Companies are subject to registration, corporate-record and filing requirements under the Companies Act. Tax registration and tax administration are handled by the Inland Revenue Division.
  • In contrast to an external company, a private limited company is locally incorporated in Grenada. Regulated financial activities require separate authorisation from the competent regulator.

Branch office (external company)

A branch office is the local registration of a foreign company in Grenada and is treated as an external company under the Companies Act framework.

  • A branch office is registered as an external company under the Grenada Companies Act framework. Unlike a private limited company, it remains connected to the foreign company.
  • This structure is commonly used by foreign companies for direct operations in Grenada. It allows a foreign company to establish a registered presence without incorporating a new local company.
  • The Companies Act framework governs registration and corporate particulars.
  • The Inland Revenue Division administers income tax for companies and other legal entities.
  • External companies are governed by Companies Act registration and record requirements. Tax registration and tax administration are handled through Grenada’s Inland Revenue Division.
  • In contrast to a private limited company, a branch does not create a new Grenadian corporate owner. Regulated activities remain subject to licensing by the relevant authority.
