Limited liability company (Družba z omejeno odgovornostjo - d.o.o.)
- The d.o.o. is the most popular and flexible corporate vehicle for foreign investors, suitable for nearly all types of commercial activities.
- The minimum required basic share capital is €7,500, which must be fully paid up in cash before registration. This capital can be used for business operations immediately after establishment.
- The entity can be established by a single founder (enostavni d.o.o.) and requires a minimum of one director. The entire registration process can be completed at a Slovenian Business Point (SPOT) office if standard conditions are met.
Free zone company (Port of Koper free zone)
- Companies establishing operations within the Port of Koper Free Zone benefit from a specialised customs and trade regime, as the port serves as the country's sole international cargo port and a major North Adriatic transport node.
- While the corporate tax rate is the same (22%), companies benefit primarily from customs and VAT advantages, such as the suspension of customs duties and Value Added Tax (VAT) on imported goods kept within the zone.
- These benefits apply primarily to businesses involved in warehousing, processing and re-exporting of goods, allowing for greater cash flow efficiency by deferring taxes until the goods enter the domestic market.
Branch office (Podružnica)
- A Slovenian branch office is a non-independent business unit of a foreign parent company and does not have separate legal personality.
- The branch can carry out the same commercial activities as the foreign parent company and must be registered with the Court Register via a notary.
- There is no minimum capital requirement for the establishment of a branch. However, the foreign head office retains full legal and financial liability for all the branch's operations and debts in Slovenia.
