The Corporate Secretary plays a crucial role in providing high-level board and corporate governance support across a diverse range of client structures, including Funds, Private Clients, Corporate Services, Trusts and Foundations. This role requires exceptional minutes-writing skills, a strong understanding of board processes, and the ability to manage board logistics efficiently. Key responsibilities include managing Board matters to a successful conclusion, maintaining strong organisational skills, and demonstrating the ability to work efficiently under pressure. The ideal candidate will possess extensive company secretarial expertise, ensuring compliance with all legal and regulatory frameworks while also demonstrating the ability to train and mentor staff at all levels. Previous experience in handling board matters and minute writing across multiple jurisdictions is essential.

Principal Accountabilities:

  • Provide Board Support for a portfolio of client companies (this includes high proficiency in minute taking for fund clients, drafting agendas, Board minutes, action items, preparation of Board packs and supporting the chairman throughout the meetings).
  • Key relationship contacts from a operational perspective for all Board Support / Corporate Secretarial Clients.
  • Assist with the registered office book of business and attend to filings with CIMA via the REEFS portal and CAP.
  • Manage new corporate secretarial / board support client onboarding and updates to the client master list.
  • Assist with file set up and ongoing administration for registered office entities, including CAP access and preparation and filing of Beneficial Ownership Register (monthly submission).
  • Management of KPI information / invoicing.
  • Assist with annual reviews of board support client files.
  • Provide administrative support to the partners and the Fund Services Manager of Paradigm, including but not limited to working with external vendors, couriers, regulators and government authorities.
  • Document handling, including coordinating Apostille / Notarial documents, courier entry, document tracking and logs).
  • Manage firm meeting calendar.
  • Involvement in the fee proposals / tenders / marketing efforts of the Board support / Corporate Secretarial Service line.
  • Assist with ad hoc projects / tasks as required to support Partners and Fund Services Manager.

The type of person we are looking for:

The successful application will have the following:

  • A minimum of 7 years of work experience in providing Board support / governance services
  • Must have excellent organizational, interpersonal and language skills and the ability to work in a fast-paced environment.
  • A legal or corporate secretarial qualification i.e. (Chartered Corporate Secretary with the Chartered Governance Institute UK) is a core requirement for this role.
  • Excellent attention to detail, project and time management skills.
  • Must have experience of being client facing and comfort with liaising directly with clients via email, phone, Microsoft Teams, Zoom and meetings in person.
  • Must be flexible and willing to work overtime hours from time to time.
