The Corporate Secretary plays a crucial role in providing high-level board and corporate governance support across a diverse range of client structures, including Funds, Private Clients, Corporate Services, Trusts and Foundations. This role requires exceptional minutes-writing skills, a strong understanding of board processes, and the ability to manage board logistics efficiently. Key responsibilities include managing Board matters to a successful conclusion, maintaining strong organisational skills, and demonstrating the ability to work efficiently under pressure. The ideal candidate will possess extensive company secretarial expertise, ensuring compliance with all legal and regulatory frameworks while also demonstrating the ability to train and mentor staff at all levels. Previous experience in handling board matters and minute writing across multiple jurisdictions is essential.

Principal Accountabilities:
Reporting to Senior Management, the successful application will:- Oversee, develop, manage board support/ corporate secretary service line for the firm, including management of a support team in the future.
- Provide board support for a portfolio of client companies, including but not limited to.
- Drafting and finalizing agendas.
- Scheduling of meetings.
- Coordination of attendees.
- Preparation of board packs.
- General support for the directors throughout the meetings.
- Drafting and finalization of board minutes and action items.
- Manage and coordinate the onboarding process of new board support clients.
- Manage Paradigm’s internal and client board support meeting calendars.
- Assist with annual reviews of board support clients.
- Manage tracking of KPI information / invoicing / AR collections.
- Manage the document handling requirements for the firm and clients, including coordinating Apostille / Notarial documents, courier entry, document tracking and logs.
- Take an active role in assisting with fee proposals, and marketing efforts.
- Provide general administrative support to the partners and other senior management when needed across all functions.
- Assist with ad hoc projects as required to support the partners and other senior management.
The type of person we are looking for:
The successful application will have the following:- A minimum of 10 years of work experience in providing board support / corporate secretary services, including managing, developing, and oversight of support team.
- A corporate secretarial qualification i.e. (Chartered Corporate Secretary with the Chartered Governance Institute UK) is a core requirement for this role.
- Institute of Chartered Secretaries and Administrators (ICSA) membership in good standing is a core requirement for this role.
- A legal, finance and/or governance related degree is a core requirement for this role.
- Must have extensive experience in a client facing role dealing with investment managers and be comfortable liaising directly with clients in person and via email, phone, and video conference.
- Must possess excellent organizational, interpersonal and language skills and the ability to work in a fast-paced environment with rigid deadlines.
- Demonstrate an excellent attention to detail, project management and time management skills.
- Must be flexible and willing to work Cayman hours.
